These General Terms and Conditions of Sale (the “GTC”) constitute the sole basis of all commercial negotiations with the professional customer (the “Customer”) and apply to all sales, by ROMUS, of products, whether standard and/or designed and manufactured according to the Customer’s specifications as approved by ROMUS (the “Products”), when the order is placed with and accepted by ROMUS (the “Contract”). The Contract contains all the obligations of the parties. The Contract consisting of these GTC cancels and replaces all proposals, agreements or protocols and takes precedence over any other communication and/or document of the Parties, including the Customer’s purchasing conditions. These GTC do not apply to online sales. ROMUS reserves the right to derogate from certain clauses of these GTC, depending on the negotiations conduc- ted with the Customer, by establishing special terms and conditions. Any derogation or contrary clause shall only be valid if it has been negotiated and accepted by ROMUS in advance and in writing. The Customer represents that it has read these GTC and has accepted them, including by formally accepting the offer and/or placing its order. The signing of an offer entails the application of the GTC without reservation, which the Customer accepts. ROMUS reserves the right to adapt or amend these GTC at any time. Unless otherwise stated, the version applicable to each order shall be the version in force on the day on which the sale is deemed concluded, i.e. the date on which ROMUS confirms the order. In accordance with Article L. 442-1 of the French Commercial Code, the Customer may not demand the granting of conditions that entail a substantial imbalance in the rights and obligations agreed between the Parties in their commercial agreement. The Customer also undertakes not to demand an alignment of its conditions with commercial conditions that the Customer considers more favourable and that have been granted, in particular, to other Customers. 1. ORDERS: The prices and conditions of sale do not constitute an offer whose acceptance by the purchaser would result in the formation of the Contract. The validity period of ROMUS’ offers, unless otherwise stipulated, shall not exceed a period of 30 calendar days from the date of delivery to the Customer. After this period, ROMUS will have the option of maintaining or modifying its offer. ROMUS reserves the right to change the range of Products at any time. In no case may such changes, in particular discontinuations of items, result in forced deliveries or claims for damages. The photographs, designs and other visuals relating to the Products are not contractual. The Customer is solely responsible for the choice of Products. The sale is deemed concluded on the date on which ROMUS confirms the order. 2. CANCELLATION — SUSPENSION: The Customer cannot impose the modification or cancellation of an order. Any request must be notified in writing and accepted in advance and in writing by ROMUS. If accepted by ROMUS, the amount of costs incurred by the latter will be invoiced to the Customer, without prejudice to any additional cancellation costs. In the event of the cancellation or suspension of an order for products or items not completed or in progress, these will be delivered and invoiced to the Customer, as will any raw materials and accessories specially supplied to fulfil said order. In all cases, ROMUS reserves the right to seek compensation for direct or indirect consequences that it is required to bear following the cancellation or suspension of an order. 3. DELIVERY —TRANSFER OF RISKS: All delivery times and any delivery costs are provided for information purposes only. They only run from the day on which ROMUS has all the information necessary to fulfil the order and has accepted it. Delivery by the indicated times can only occur if the Customer is up to date with its obligations. The Customer acknowledges that ROMUS cannot be held liable in the event of non-compliance with the delivery times provided, in particular due to the occurrence of circumstances beyond its control and/or resulting from an act by the third party, or a case of force majeure or accident. All penalties for late delivery and/or order cancellations and/or damages are excluded in the event of late delivery for any reason. Delivery, which entails the transfer of risks, is carried out by direct delivery of the Products, either to the Customer or to the carrier designated by the Customer or, failing that, chosen by ROMUS. In all cases, the Products are transported at the Customer’s risk, including when delivery is free. It is therefore the responsibility of the Customer to insure the costs and risks of transporting the Products sold, and to check, when the Products arrive, the condition, quantity and conformity of what is supplied with the information on the shipping form. The Customer is solely responsible for receiving deliveries. Deliveries are made with the usual tolerances, i.e. slight variations in thickness, colour, (...), which cannot give rise to any complaints. If Products are missing, do not conform to the order or are damaged, it is up to the Customer to refuse delivery or to express any reservations in writing to the carrier, and then to confirm these reservations by registered letter with acknowledgement of receipt within a period of three calendar days to the carrier and to ROMUS. After this period, deliveries shall be deemed to have been accepted without reservation. In the event of a shortage, ROMUS will respond to orders according to their order of arrival and to availability. 4. COMPLAINTS: The Products conform to the information in the applicable instruction documents. The instructions in the ROMUS technical datasheets must be strictly respected by the Customer. Any failure to comply with these instructions will exclude any recourse by the Customer. The Customer will also take the necessary usual precautions. Any storage at a work site or point of sale is under the sole responsibility and at the risk of the Customer. Products that are subject to a complaint must be stored in accordance with ROMUS’ instructions, particularly those contained in the contractual documents and notices (particularly the applicable im- plementation principles). The fact of continuing the work implies acceptance of the Product. The Customer is exclusively res- ponsible for the suitability of Products. It must ensure that the Products are suitable for the use for which they are intended. 5. WARRANTY: Subject to the provisions of the commercial warranties for standard Products, ROMUS is required to provide Products conforming to the Order, subject to the usual tolerances. ROMUS reserves the right to modify the standard Products at any time and without notice. For Products designed and/or manufactured in accordance with the specifications provided by the Customer and accepted in advance by ROMUS, the latter is required to provide Products conforming to the specifications, subject to the usual tolerances. Responsibility for the specifications for the design of the Products lies with the Customer. ROMUS assumes no responsibility for parts of the Products supplied by third parties. The Customer may decide to implement the warranty against hidden defects in the Products; in this case, it may choose to either cancel the sale or reduce the selling price. 6. PRICE - PAYMENT: The price of Products applicable to the Customer is the price that appears in the order accepted by ROMUS, it being specified that a reservation is not an order. Unless otherwise stated, prices are set in euros excluding taxes and refer to packaged, ex-works Products, it being specified that orders also show, in addition and distinctly, all other charges that increase the price. The prices of the Products may in particular be revised taking into consideration changes in the prices of raw materials and additional costs related to the order. In the event that ROMUS does not fulfil an order perfectly, the Customer is not authorised to reduce the price of the Products. In the absence of a specific written agreement, all invoices are payable within 30 days net, with no discount, as of the invoice date. Any delay or failure to pay on a due date shall result in the immediate payment of all sums to be paid without any reminder being necessary. Any amount due and not paid at the end of this period will bear interest at the refinancing rate applied by the European Central Bank (ECB), plus 10 percentage points, until full payment of the order by the Customer. Any delay in payment will also give rise to a fixed compensation of forty (40) euros for recovery costs. This amount may be reassessed in the event of any amendments in the applicable provisions. The automatic application of this compensation does not exclude the payment of all damages in compensation for the loss sustained by ROMUS. In the event of delay or non-payment, ROMUS will also be authorised to suspend deliveries and to terminate the Contract eight calendar days from receipt of a formal notice, sent to the Customer by registered letter with acknowledgement of receipt, or from its first presentation, remaining without effect. In this case, ROMUS may freely recover the Products in accordance with the provisions below. In any event, ROMUS reserves the right, at any time, including during the fulfilment of a contract or an order, to require a specific warranty, approved by ROMUS, in order to ensure the proper fulfilment of the Customer’s commitments. If the Customer refuses to provide, or is unable to provide, such a warranty, we are authorised to cancel all or part of the order or contract. 7. RETURNS: Apart from the transport risks mentioned above, any goods not returned within one month from delivery shall be considered to have conformed to the order, both in quantity and quality, with the understanding that no complaint shall be taken into consideration after the product has been implemented. Any storage at a work site or at the point of sale is under the res- ponsibility and at the risk of the Customer. Any return of products must be expressly agreed to by ROMUS beforehand. Any product returned without such agreement shall be kept at the purchaser’s disposal and shall not entitle the purchaser to a credit. The costs and risks of return are always to be covered by the purchaser. The same applies to any exchange or repair whether free of charge or not; carriage shall always be paid by the shipper. The fact that reservations are correctly submitted shall not extend the payment deadline. The purchaser shall not apply any deductions, penalties, or offsetting against sums due with respect to its initial order unless agreed with ROMUS in writing. If an observed quality defect is recognised by us, after a qualitative and quantitative verification of the returned products, our liability shall be limited to the issue of a credit or the outright replacement of the good or, where applicable, to the resumption of the work performed by ROMUS, with the exception of any other costs and/or charges of any kind whatsoever. In no event shall our liability extend to direct or indirect damages that our Customers may incur as a result of non-delivery or manufacturing defects. Moreover, ROMUS declines to accept any returns based on an error in the purchaser’s order. Nevertheless, ROMUS may exceptionally accept a return on this basis, but only for goods featured in the catalogue and not for any made-to-measure goods or special orders. This is without prejudice to ROMUS’ right to bill the expense of administration, inspection, repackaging, and refurbishment, the amount of which will range between 10% of the value for items in the “installation tools” range and 30% of the value for other products. Goods returned more than one month after their shipment shall not be accepted. Products must be returned in their original condition. ROMUS may refuse to accept returned products that are incomplete, damaged, and/or in damaged original packaging or may bill the cost of returning them to inventory in addition to the above costs. ROMUS’ system for collecting and processing professional WEEE. ROMUS has introduced its own system of free collection and processing at its own expense for all professional WEEE for which it is responsible. A list of voluntary waste drop-off points will be provided by ROMUS’ head office on request. 8. RETENTION OF TITLE: For as long as the price is not paid in full, the Products will remain the property of ROMUS and the Customer will therefore not be able to dispose of them in any way. However, the risks are transferred to the Cus- tomer upon delivery of the Products. Consequently, the Customer must assume the risks of the Products by taking out all necessary insurance, at its expense, until the price is paid in full. If the Customer has failed to pay any portion of the price by the agreed due dates, ROMUS reserves the right to take back the Products for its benefit, without delay and without any particular formality. The Products will be detained until full payment of the order. Return of the Products can be obtained by simple summary order of the President of the Commercial Court of PARIS. Furthermore, if we see fit, ROMUS may decide not to pursue the claim and to exercise the right to be paid the sums due, plus interest, penalties and additional costs. The Customer is prohibited from disposing of the Products to resell them, transform them or change their nature. ROMUS must be immediately informed of any seizure or other infringement of its rights. 9. PENALTY CLAUSE: By express agreement, any failure to pay on the due date will result, without prejudice to the sums due under Article 6 of the GTC, in the automatic application after notification of compensation equal to 15% of the unpaid sum, plus default interest, with a minimum of EUR150 and all costs and fees related to recovery. 10. TERMINATION: In the event of a breach by the Customer, ROMUS may terminate the sale automatically, the consequences of which are to be borne by the Customer, by simple registered letter with acknowledgement of receipt. 1 1. FORCE MAJEURE — UNFORESEEN CIRCUMSTANCES: ROMUS will not be held liable, nor can it be considered to have breached the Contract, if it is unable to fulfil any one of its commitments or contractual deadlines due to force majeure, as this term is defined by Article 1218 of the French Civil Code. If, in the event of force majeure, ROMUS is unable to fulfil one or more of its contractual commitments, ROMUS will notify the Customer within fifteen (15) calendar days of the occurrence of the force majeure event to adopt the measures it deems necessary to enable the proper fulfilment of the Contract or to decide to terminate it. If an agreement is not reached within the month following the occurrence of the force majeure event, ROMUS may terminate the Contract with immediate effect by sending a registered letter with acknowledgement of receipt. These GTC expressly exclude the legal regime of unforeseen circumstances provided for in Article 1195 of the French Civil Code. 12. MISCELLANEOUS CLAUSES: ROMUS may only be held liable in the event of fault on the part of the latter, whether legally established or not contested. This liability is limited to certain, direct, personal damage that was foreseeable when the order was signed, to the exclusion of any indirect damage of any kind whatsoever. ROMUS’ liability will be capped for each order, all causes and all damages combined, at the amount of said order. In order to assert its rights, the Customer must, under penalty of forfeiture of any action relating thereto, inform ROMUS in writing of the existence of the alleged breaches within a maxi- mum period of seven (7) calendar days from their discovery or the date on which it should have discovered them, under penalty of foreclosure. Furthermore, in accordance with Article 2254 of the French Civil Code, the Parties agree on the fact that ROMUS’ liability is subject to a limitation period of one year from the disputed event. The Customer, on its own behalf and on behalf of its insurers, waives the right to claim from ROMUS and its insurers compensation for damage beyond the limits and exclusions mentioned. Any cancellation of one or more clauses of this Contract by a court decision or by mutual agreement between the Parties cannot affect its other stipulations, which will continue to produce their full and com- plete effect, provided that the general tenor of these GTC can be safeguarded. 13. INTELLECTUAL AND INDUSTRIAL PROPERTY: The brands and other distinctive signs of ROMUS, as well as the designs, patents and copyright, are the exclu- sive property of ROMUS. ROMUS is and shall remain the owner of all intellectual property rights attached to the Products. In the same way, ROMUS will retain sole ownership of all information or data contained in the information elements and media provided by ROMUS. No right, title or interest relating to or linked to the brands and other distinctive signs of ROMUS, designs and models, patents or other intellectual property rights attached to the Products shall be transferred to the Customer by these GTC. The Customer may not disclose them, utilise them, reproduce them (including partially) or modify them without prior written authorisation. With regard to specific products designed and manufactured by ROMUS, the latter shall retain exclusive ownership of any plan, model or technical information provided by it. The Customer undertakes not to carry out any transformation of the Products. ROMUS reserves the right to object to, terminate or request compensation for any use that it regards as an infringement of its intellectual property rights and in particular constitutes an act of counterfeiting, unfair competition or commercial parasitism or that is contrary to its image. All confidential information disclosed by ROMUS must be kept strictly confidential. The fact that Romus might not at a particular time demand compliance with any of these GTC shall not be interpreted as a waiver of the subsequent enforcement of any of these stipulations. 14. COMPLIANCE: ROMUS has a business ethics programme in place that applies to all. It includes an ethics charter, a code of conduct, a whistleblowing system and associated procedures. ROMUS complies, and asks its employees, co-contractors and all their direct or indirect representatives, customers, suppliers, agents, affiliated companies, commercial partners, consultants or any other third party, to comply with this programme, as well as all legal and regulatory, national, European or international provisions, applicable without limitation, regarding: (i) competition, (ii) ethics, anti-corruption or influence peddling, and (iii) embargoes and economic sanctions. These parties acknowledge that they have full and complete knowledge of these rules and warrant to ROMUS that none of their employees, agents, representatives, consultants or subcontractors will implement any commercial procedures that might be contrary to these regulatory provisions, regardless of their form. 15. PERSONAL DATA PROTECTION: The Parties to the Contract will respect the obligations of French and European regulations on per- sonal data. Taking into account the respective roles of the Parties, they acknowledge that they both have the status of Data Controller. They specifically undertake to inform every person, including members of their staff, of any potential transfer of personal data to ROMUS. The collection of personal data by ROMUS, transmitted by the Customer, is solely intended for the proper execution of the Contract, i.e.: (i) the adequate processing of Orders, deliveries, invoicing and any recovery, and (ii) the management of commercial relations and/or the best possible response to the Customer’s expectations. In its legitimate interest, ROMUS may be required to: (i) send commercial communications and/or information on its activity from which the Customer may unsubscribe at any time, (ii) solicit the Customer in order to obtain its opinion through questionnaires or satisfaction surveys. The data may also be used to manage any dispute that may arise between ROMUS and the Customer. The personal data collected are retained for the period strictly necessary to achieve the aforementioned purposes and, where applicable, for the legal period necessary for evidentiary purposes. The Customer has a right of access, rectification, portability, erasure and objection to the processing of its personal data and a right to request restrictions on the processing of its personal data upon written request sent to the following address: dpo@ROMUS.com. The Customer undertakes to inform ROMUS of any change to its personal data, and will be solely res- ponsible for the veracity and accuracy of the data provided. At any time, the Customer may lodge a complaint with the competent supervisory authority. For more information, the Customer is invited to view the ROMUS confidentiality policy at www.ROMUS.fr. 16. TERRITORIAL JURISDICTION: Domicile is elected as the head office of ROMUS. For any dispute and/ or litigation over the interpretation or fulfilment of this Contract, the Commercial Court with jurisdiction over our head office shall have sole jurisdiction regardless of shipping or payment methods and including in the event of multiple defendants or warranty claims. 17. APPLICABLE LAW: All clauses and operations appearing in these GTC shall be subject exclusively to French laws to the exclusion of any other laws or agreement. 18. EXTENDED LIABILITY OF MANUFACTURERS: Pursuant to the provisions of Article R 543-290-3 of the French Environmental Code, the portion of the unit cost borne by ROMUS for managing PMCB’s waste, as invoiced by the eco-organisation of which ROMUS is a member, is passed on in its entirety to the professional purchaser of the product, with no possibility of rebate.
